These Terms of Service (“Terms”) govern your access to and use of the website, software, and services provided by IQPeach LLC (“IQPeach,” “we,” “us,” or “our”). By using our website or services, you agree to be bound by these Terms. If you do not agree, you must stop using our services.

1. About IQPeach LLC

IQPeach LLC provides digital learning tools, custom educational products, LMS integrations, platform setup services, and cloud-based software including the IQPeach Course Builder. These Terms apply to all users, organizations, and visitors who access or use our services.

2. Use of Services

You agree not to:

  • Copy, reverse-engineer, or modify IQPeach software or materials
  • Share or misuse API keys, access tokens, or installation scripts
  • Attempt to bypass security features or system restrictions
  • Use our services to build competing products
  • Interfere with system operations, performance, or stability

3. Software Licensing & Access

Some services, including the IQPeach Course Builder, require installation or access keys. IQPeach grants you a limited, revocable, non-transferable license to use our software according to your agreement or membership level.

All software remains the property of IQPeach LLC. These Terms do not transfer ownership of any intellectual property.

4. Automatic Updates & Cloud Services

IQPeach Course Builder and other tools may be updated automatically through the cloud. We may modify or improve features at any time. Updates may add, change, or remove functionality.

5. Third-Party Platforms

Our services may integrate with platforms such as Canvas, Moodle, Blackboard, and Google Workspace. We do not control these platforms and are not responsible for:

  • Changes made by third-party systems
  • Downtime or outages
  • Data loss caused by external platforms
  • Compatibility issues resulting from updates outside our control

6. Payments & Billing

Fees, billing schedules, and milestones are defined in project agreements, proposals, or invoices. Payment is required before delivery of final materials unless otherwise agreed.

Non-payment may result in suspension of access or delayed delivery.

7. Intellectual Property

All software, code, templates, frameworks, designs, documentation, and related materials created by IQPeach remain our property unless explicitly transferred by written agreement.

8. Confidentiality

Both you and IQPeach agree to protect confidential information shared during any project, including proprietary documents, curriculum materials, internal data, and technical assets.

9. Data & Privacy

We may collect basic usage data to improve software performance and security. Personal information is handled according to our Privacy Policy.

10. No Warranty

IQPeach services are provided “as is” and “as available.” We make no guarantees regarding:

  • Specific learning or academic outcomes
  • Uninterrupted service availability
  • Error-free operation of software
  • Compatibility with all devices or LMS configurations

11. Limitation of Liability

To the fullest extent allowed by law, IQPeach LLC is not liable for any indirect, incidental, or consequential damages, including data loss, system downtime, business interruption, or lost revenue.

12. Termination

We may suspend or terminate access to services if:

  • These Terms are violated
  • Access keys are shared improperly
  • Payment is not received
  • Security risks or misuse are detected

13. Governing Law

These Terms are governed by the laws of the State of Texas unless otherwise specified in a written agreement.

14. Updates to These Terms

We may update these Terms at any time. Continued use of our services after changes are posted means you accept the updated Terms.
